Tarsus acquisition of Alkeus and its Stargardt disease drug program.

Tarsus Bets Up to $800 Million on a Deuterated Vitamin A Drug

The acquisition of Alkeus adds a Phase 3 oral therapy for Stargardt disease and pushes Tarsus deeper into inherited retinal disorders.

Key Takeaways

  • Tarsus will acquire Alkeus for approximately $450 million upfront, with total potential consideration reaching $800 million.
  • The deal centers on gildeuretinol (ALK-001), a once-daily oral therapy currently in Phase 3 development for Stargardt disease.
  • Gildeuretinol uses deuterated vitamin A to slow the formation of toxic retinal byproducts without directly suppressing the normal visual cycle.

The acquisition gives Tarsus a late-stage retinal asset in a rare genetic disease with no approved treatment in the United States. The remaining consideration is tied largely to regulatory approval and the first commercial sale.

What Happened

Tarsus Pharmaceuticals agreed to acquire privately held Alkeus Pharmaceuticals for approximately $270 million in cash and $180 million in Tarsus stock at closing. Alkeus shareholders may receive up to an additional $350 million following regulatory approval and the first commercial sale of gildeuretinol, alongside low-single-digit royalties on net sales. The transaction adds gildeuretinol, also known as ALK-001, to Tarsus’ expanding eye-care pipeline. The drug is being developed as a once-daily oral treatment for Stargardt disease, a progressive inherited retinal disorder that can cause irreversible central vision loss in both children and adults.

Why It Matters

Stargardt disease is commonly associated with mutations in the ABCA4 gene, which impair the removal of vitamin A-derived waste products from retinal cells. These byproducts can form toxic vitamin A dimers that accumulate in the retina and contribute to progressive photoreceptor damage.

Gildeuretinol is a chemically modified form of vitamin A in which selected hydrogen atoms are replaced with deuterium. This substitution strengthens specific chemical bonds and slows vitamin A dimerization, while aiming to preserve the normal visual cycle. (Link)

The ongoing Phase 3 NORTHSTAR trial is expected to enroll approximately 230 patients aged 8 to 45. Its primary endpoint measures the growth rate of retinal atrophic lesions over 24 months, while a secondary endpoint evaluates changes in low-light visual acuity. Topline results are expected in the second half of 2029. (Link)

BP View

Tarsus is not simply acquiring another ophthalmology asset. It is investing in a differentiated mechanism that could address the underlying biology of Stargardt disease, a condition with no approved treatment in the United States.

For patients, the emergence of a credible disease-modifying candidate is especially welcome. Gildeuretinol aims to slow retinal degeneration without broadly disrupting the normal visual cycle, potentially offering a practical long-term treatment approach.

The program still carries substantial clinical risk, and NORTHSTAR must show that slower lesion growth translates into meaningful preservation of vision. Nevertheless, the absence of approved therapies makes timely and successful development particularly important.

For Tarsus, the acquisition marks a strategic shift toward higher-risk, higher-value retinal drug development. For patients, it offers a long-awaited possibility that the company should advance as efficiently as clinical evidence and safety allow.
